Seventh United States Cavalry Association

BY-LAWS

ARTICLE I

[OFFICERS]

  • It shall be the duty of the President to preside at all meetings of the Association, to act for the Board of Officers by causing to be issued all notices which may be required, to appoint all committees, to execute all agreements, contracts, or other documents as approved by the Association or Board of Officers in the name of the Association, and to see that the same are properly carried into execution; to discharge all executive functions of the Associations, and to perform such other acts as required by the Board of Officers.

  • It shall be the duty of the Vice-President to aid the President, to carry out the President’s duties during their absence or disability, and to perform such other duties as may be assigned by the President,

  • It shall be the duty of the Secretary/Treasurer to keep proper books, to record all business of the Association, and to keep the minutes of all meetings of the Board and of the annual and special meetings. They shall conduct the correspondence relating to the Association, have the care and custody of, and be responsible for, all monies paid into the Association, keep proper books and records of the same, and deposit the same in insured financial institutions in the name of the Association. They shall submit an annual membership and financial report at the annual meeting and shall make such other reports as required by the Board.

  • Resignation or Removal

    Any officer may resign by written request to take effect upon acceptance by the Board of Officers. The members of the Association and the Board of Officers, respectively, may remove by majority vote, any officer for reasonable cause and fill such vacancy by majority vote of the Board of Officers.

ARTICLE II

[BOARD OF OFFICERS]

  • The Board of Officers shall have general management and control over the property and affairs of the Association and is vested with all powers possessed by the Association so far as this delegation of authority is not inconsistent with the Constitution and By-Laws. The Board of Officers may delegate authority to one or more officers of the Association who may act for the Association within the scope of the authority delegated to them.

  • The Board of Officers will be elected by the members at the annual meeting, and will serve for two years or until their replacements have been duly elected and qualified.

  • A meeting of the Board of Officers shall be held immediately following the annual meeting of the Members, and other meetings may be held at such times and places as may be fixed by the Board.

ARTICLE III

[CHAPTER’S]

  • The Association encourages and supports the formation of chapter, local and regional, to afford opportunities for comradeship, meetings, and service. Such chapters may be organized by members in good standing in the Association.

  • When such a local or regional chapter has been organized and has adopted these Articles of Association and By-Laws, and when such Articles and By-Laws have been presented to the Board with a roster of Association members making up such a charter. When the documents have been approved by the Board, the president will issue a charter to said chapter in the name of the Association.

ARTICLE IV

[ANNUAL REUNIONS]

  • Except under extraordinary and unusual circumstances, a reunion of all members of the Association shall be held annually in conjunction with reunions of the First Cavalry Division Association.

  • Additional reunions of the Association (separate from the annual reunions with the First Cavalry Division Association) may be held at times and dates as announced by the President; however, Association business will not be acted upon during these separate reunions except for those items of business which have been specifically brought to the members attention in a timely notice of proposed separate reunion.

ARTICLE V

[AMENDMENTS]

  • These By-Laws may be amended, repealed or suspended at any time, provided a quorum has been convened, by a vote of two-thirds of the Members attending an annual meeting.

Officer Job Descriptions

  • The President must be a member in good standing of the 7th United States Cavalry Association. It shall be the duty of the President to preside at all meetings of the Association, to act for the Board of Officers by causing to be issued all notices which may be required, to appoint all committees, to execute all agreements, contracts, or other documents approved by the Association or Board of Officers in the name of the Association, and to see that the same are properly carried into execution; to discharge all executive functions of the Association, and to perform such other acts as required by the Board of Officers. The President should always conduct themself in a manner that reflects a positive image of the 7th United States Cavalry Association and the 1st Cavalry Division. The President must refrain from suggesting or implying that any era of GarryOwen Trooper is subordinate to another era!

  • The Vice-President must be a member in good standing of the 7th United States Cavalry Association. It shall be the duty of the Vice-President to aid the President, to carry out the President’s duties during their absence or disability, and to perform such other duties as may be assigned by the President. The Vice-President should always conduct themself in a manner that reflects a positive image of the 7th United States Cavalry Association and the 1st Cavalry Division. The President must refrain from suggesting or implying that any era of GarryOwen Trooper is subordinate to another era!

  • The Treasurer must be a member in good standing of the 7th United States Cavalry Association. The Treasurer shall have verifiable financial experience with organizations, but not necessarily military or fraternal. It shall be the duty of the Treasurer to keep proper books and record all financial transactions of the Association. They shall prepare all required correspondence relating to Association financial matters and act in concert with the President, Vice-Presicdent, and Secretary in time for their review prior to the annual meeting. They shall make any other reports as required by the President, Vice-President or the Secretary. The Treasurer must be familiar with and be able to generate reports and correspondence in Microsoft Word and Excel and maintain an email address and phone number so that any elected officer may contact them when necessary. Any financial discrepancies, such as uncollectable checks should be, as soon as possible communicated to the other elected officers. The Treasurer should always conduct themself in a manner that reflects a positive image of the 7th United States Cavalry Association and the 1st Cavalry Division. The Treasurer must refrain from suggesting or implying that any era of GarryOwen Trooper is subordinate to another era!

  • The Secretary must be a member in good standing in the 7th Cavalry Association. It shall be the duty of the Secretary to prepare the minutes from all meetings held with the President, Vice-President and Treasurer, which may include members of the Association. They shall also prepare the minutes of the annual and any special meetings. Generally, all meetings are held in conjunction with the 1st Cavalry Division Association annual reunion, although on occasion meetings with Association Officers may be held via phone conference. They shall conduct membership processing and validate all applications for membership. In extenuating circumstances, a current Regular member may provide validation of service for a prospective member. They will provide to a new member a membership packet consisting of: a membership card, a certificate, a welcome letter, an update to the latest roster and the latest printed roster. If a member elects to become Sustaining, they will also provide a letter and a certificate. They shall provide a list of new members to the Association Webmaster, including: name, unit, dates of service, rank and nickname (if any) and class of membership. They shall also provide a mechanism for Association Officer elections and any Honorary position appointments and ensure those voting are members in good standing. They shall manage membership rosters and present a membership report at the annual meeting and shall make such other reports as required by the President. They shall prepare correspondence when required and maintain those records electronically. The Secretary will prepare a synopsis of the Annual Meeting and send that to the 7th Cavalry Scribe for their inclusion in the Division Association Newspaper - Saber. The Secretary will announce through the Saber, the intent of the Association to hold elections when required during the next annual meeting. The Secretary must be familiar with and be able to generate reports and correspondence in Microsoft Word and Excel and maintain an email address and phone number so that any elected officer may contact him if necessary. Funds that are collected must be sent to the Treasurer in a timely manner. The Secretary should always conduct themself in a manner that reflects a positive image of the 7th United States Cavalry Association and the 1st Cavalry Division. The Secretary must refrain from suggesting or implying that any era of GarryOwen Trooper is subordinate to another era!

  • Regular: An applicant for membership in the 7th United States Cavalry Association must provide to the Secretary, proof of their service with a unit of the 7th Cavalry. It should be noted that not all 7th Cavalry Battalions and Squadrons, hence prospective members served with the 1st Cavalry Division.

    Attached: An applicant for membership in the 7th United States Cavalry Association must provide to Secretary, proof of attachment with a unit of the 7th Cavalry. Examples are: Forward Observers from the United States Air Force attached to the 7th Cavalry during Vietnam; the Global War on Terrorism has seen many Reserve Units called to active duty and assigned to 7th Cavalry Battalions and Squadrons.

    Associate: Generally, this category is comprised of family members of a regular member who may be interested in joining the Association. Widows and Widowers who are not current members are automatically added in place of their sponsor with a notation made in the Note section on the membership roster.

    Honorary: Honorary positions within the 7th Cavalry Association are appointed for life. Currently there are 3 such positions: Honorary Colonel; Honorary Sergeant Major and President Emeritus. Any appointment or election to fill any of these Honorary Positions MUST come from a Regular member in good standing. The holder of an Honorary position must conduct themselves in a manner that reflects a positive image of the 7th United States Cavalry Association and the 1st Cavalry Division. An Honorary appointee must refrain from suggesting or implying that any era of GarryOwen Trooper is subordinate to another era!

    Sustaining: Any member who contributes a minimum of $15.00 to the Association will be included in the annual membership roster printing as recognition of their support toward the financial well-being of the Association.

    Members must always conduct themselves in a manner that reflects a positive image of the 7th United States Cavalry Association and the 1st Cavalry Division, including, but not limited to social media. Members must. refrain from suggesting or implying that any era of GarryOwen Trooper is subordinate to another era!

  • Any member in good standing of the 7th United States Cavalry Association may attend annual meetings. Currently those meetings are held in conjunction with the annual 1st Cavalry Division Association Reunion at venues within the continental United States. Every other year the reunion is held in Copperas Cove, TX where the 1st Cavalry Division is garrisoned. To attend a 1st Cavalry Association reunion, a member MUST also be a member of that Association. The 7th Cavalry Association has a luncheon on the Saturday of that reunion, which requires any person attending to purchase a ticket, in advance from the Division Association.

    Only Regular or Attached members have the privilege of voting.

  • The nominating procedure for any elected Officer or Honorary position rests solely with the Secretary or their designated stand-in.

    Any interested regular member may submit their name to the Secretary by April of the year in which an election is to be held.

    Only in rare instances will a nomination from the floor at the annual meeting be accepted. This is because a vetting process can not be held at and during the business meeting because of the time constraint.
